Federal and state employment laws require that employees be paid at least minimum wage for hours worked. An employee cannot opt out of minimum wage requirements, regardless of the employee’s willingness to work for equity only. Startups should work with counsel to ensure compliance with wage and hour laws. Notably, a corporation’s directors and officers may be personally liable for unpaid wages if it is found that they have willfully violated these laws.
